Paramount Completes $110 Billion Warner Bros. Discovery Acquisition

The combined entertainment giant, now operating as Skydance, unites major Hollywood studios, streaming platforms, and television networks under single ownership.

Paramount has officially finalized its $110 billion acquisition of Warner Bros. Discovery, closing one of the largest corporate consolidations in entertainment history. The completed transaction formally establishes a combined entity operating under the name Skydance, bringing two of Hollywood’s most prominent film and television operations under a single corporate banner.

A Consolidated Entertainment Footprint

The closing of the transaction places an expansive collection of film studios, cable television networks, and streaming properties under unified control. Key assets brought together in the portfolio include Warner Bros. Discovery’s HBO and CNN alongside Paramount’s CBS News, creating an entity with significant influence across global news, theatrical production, and premium home entertainment.

With the merger completed, Skydance assumes command of several of the industry’s largest theatrical production arms and broadcast outlets, substantially altering the competitive landscape for theatrical film distribution and digital streaming services worldwide.

The Road to Regulatory Clearance

The path to closing the megamerger followed an extended period of industry friction and intense legal scrutiny. Paramount originally reached an agreement to acquire Warner Bros. Discovery in February, having emerged victorious following a competitive, months-long bidding contest against Netflix.

Following the initial agreement, the deal drew sustained criticism from multiple fronts. Lawmakers and creative talent across Hollywood voiced strong concerns regarding the broader ramifications of entertainment consolidation, specifically questioning how reduced competition might impact production activity, industry jobs, and creative diversity.

Paramount cleared its final regulatory roadblock last month after reaching an agreement to settle antitrust litigation brought by 12 states seeking to block the transaction. To resolve state-level antitrust challenges, Skydance agreed to legally binding commitments governing theatrical releases and domestic operational investment.

Under the terms of the settlement, Skydance must maintain a specified minimum output of theatrical motion picture releases over the next five years. This includes an obligation to release at least 30 feature films theatrically in each of the first two years following the merger. Additionally, the company is mandated to increase its domestic manufacturing commitments, requiring it to spend at least $300 million more on production within the United States relative to what Paramount and Warner Bros. Discovery spent combined during the previous year.

Leadership and Corporate Vision

Executive leadership for the newly formed Skydance will be shared at the top. David Ellison will lead the combined operation alongside Ynon Kreiz, who previously served as chairman and chief executive officer of Mattel.

Addressing the formal closing of the acquisition, Ellison framed the milestone as a transformative development for the broader media landscape.

“Today is a historic day, not just for Skydance but for our entire industry,” Ellison said in the official announcement. “From the start, our ambition was to bring these two storied studios together and create a stronger competitor, with the talent, resources, and reach to tell great stories in every genre, on every platform, for audiences everywhere. Now that ambition is a reality.”

With all legal disputes resolved and operational control consolidated under Skydance, the executive team now turns to integrating the operations of both legacy studios while meeting the mandatory production quotas and theatrical delivery timelines established by the state settlements.
